Article I

Name

The name of this organization shall be THE SCHOOL NURSES ORGANIZATION OF ARIZONA, an affiliate of the Arizona Education Association (AEA), the National Education Association (NEA) and "unified" with the National Association of School Nurses Incorporated (NASN). All of the organizations named may hereafter be referred to by their abbreviated initials.

Article II

Goals

The goals of the organization shall be to operate exclusively as an educational organization on a nonprofit basis and to aid school nurses to become more effective and promote increased understanding of their role in schools with other members of the AEA. School Nurses Organization of Arizona

Article III

Membership

Section 1. Membership in this Organization shall be open to any registered professional nurse who has as their primary assignment, the administration, education or provision of school health services in the State of Arizona. Membership Form

Section 2. Annual dues of the Organization shall be established by the Executive Board subject to approval of the membership. The membership year and the fiscal year for the Organization shall consistent with that of AEA, NEA and NASN.

Section 3. Members of the Organization shall be designated as Active, Associate, Retired, Honorary and Life.

A. Active. Any registered professional nurse who has as their primary assignment, the administration, education or provision of school health services, who is also a member of NASN, upon application and payment of organization dues shall be an Active member. Membership in your local education association, AEA, and NEA are strongly recommended.

B. Associate. Any registered professional nurse who serves a school and is employed as a school nurse, upon application and payment of organization dues shall be an associate member of SNOA. Associate members may vote in general meetings, but may not hold office or serve on the Executive Board.

C. Retired. Retired membership may be maintained by a retired school nurse upon payment of "retired active" organization dues. Active Retired members may vote in the general meetings. If a member of the Executive Board retires during their term of office, they may choose to fulfill the remainder of their term and maintain full rights, provided active dues are paid.

D. Honorary. Honorary membership may be accorded to anyone sympathetic with the purpose of SNOA and may be conferred by a three-fourths vote of the Executive Board. Honorary members shall have all the privileges of membership upon the payment of organization dues. Honorary members may not hold office, serve on the Executive Board or make motions.

E. Life. Life membership may be accorded to any member of SNOA who has contributed outstanding service to SNOA. A prospective life member may be nominated by any member of SNOA. Nominations may be submitted to the Executive Board and passed by a three-fourths vote of the Executive Board. Membership fees shall be waived for a life membership in SNOA.

Article IV

Officers

Section 1. The elected officers of this Organization shall be: President, Vice-President, Secretary, Treasurer, and five Delegates-At-Large: all of whom shall be active members of SNOA and NASN. Board Members

Section 2. The officers shall serve for the period of two years and may succeed themselves for one term in the same office. The NASN Delegate-At-Large will serve one four year term in accordance with the NASN Bylaws and may not succeed themselves. (See Article V, Section 7).

Section 3. Duties:

A. The President shall:
1. Preside at all meetings.

2. Appoint with the approval of the Executive Board, chairperson of the standing committees, as herein provided and shall serve as ex-officio member of all committees except the Nominating Committee.

3. Prepare with the advice and assistance of the Executive Board, a program for the annual business meeting.

4. Sign proper orders drawn upon the treasury funds in payment of claims as approved by the Executive Board.

5. Perform all necessary duties pertaining to the office of President and other duties assigned by the Executive Board.

B. The Vice-President shall:

1. In the absence of, the disability of the President, or in the event the President resigns or is unable to complete his/her term, the Vice- President shall fulfill the duties and assume the responsibilities of the President.

2. If the Vice-President must take over the term of the President for any reason, he/she can still run for the office of President, and succeed themselves for one term.

3. Prepare with the advice and assistance of the Executive Board a program for the annual conference(s).

4. Perform other duties as may be assigned by the President of the Executive Board.

C. The Secretary shall:

1. Keep the minutes of all meetings of the Executive Board and any other meetings including the annual meeting.

2. Perform such other duties as may be assigned by the President or the Executive Board.

3. Reserve meeting rooms and notify all board members of upcoming meetings, both regular or as ordered by the President.

D. The Treasurer shall:

1. Keep full and correct accounts of receipts and disbursements of SNOA.

2. Dispose of funds as may be ordered by the Executive Board.

3. Perform such other duties as may be assigned by the President or the Executive Board.

Section 4. Following election of officers, each officer shall deliver all materials pertaining to the office, to the successor within ten days.

Article V

The Executive Board

Section 1. The members of the Executive Board shall be: President, Vice-President, Secretary, Treasurer and five Delegates-At-Large, to be elected by mail ballot, if more than one candidate per office (See Article IV, Section 1, F), and announced at the annual meeting. The immediate past President shall serve as an ex-officio member of the Executive Board, but may not vote or make motions. All members of the Executive Board shall be Active members of SNOA and NASN.

Section 2. The Executive Board shall approve all Standing Committee appointments, implement programs adopted at meetings of the organization, and authorize any special meetings as well as the annual meeting/conference.

Section 3. The Executive Board shall approve all applications for membership in the Organization.

Section 4. The Treasurer with the Executive Board shall prepare a budget.

Section 5. The Executive Board shall fill any vacancy occurring in that body except the office of the President.

Section 6. The quorum of the Board shall be a majority of the members of the Executive Board.

Section 7. The Executive Board shall elect a Delegate-At-Large from the Executive Board to serve a term of four years as the representative to the Board of Directors of the National Association of School Nurses. The representative may not hold consecutive terms. The representative shall be responsible for communication from NASN to the membership. The Delegate-At-Large elected to fill this position must have been an active member in SNOA for at least three years.

Article IV
Committees
Section 1. There shall be seven standing committees. Committees

A. Education: Shall coordinate and record continuing education units. The chairperson is responsible for submitting annual application for continuing education unit identification numbers for workshops. The Vice-President shall be a member of this committee.

B. Constitution/Bylaws: Shall be responsible to review and propose changes as needed.

C. Legislative: Shall apprise the membership of current legislation, both State and Federal, that is pertinent to education and school nursing and recommend appropriate action be taken.

D. Public Relations: Shall promote understanding of and support for SNOA with other professional organizations, especially educational organizations, and with the public at large. Shall publicize School Nurse Day and interact with the media regarding school health events.

E. Membership: Shall keep a current record of all members of SNOA, including member status. The membership chairperson shall notify all members of membership renewal and actively campaign for membership. One of the elected Delegates-At-Large shall be a member of this committee.

F. Nominations/Elections: Shall be composed of not less than three and no more than five members. This committee shall be elected by the Executive Board and shall:

1. Select its' own chairperson.

2. Secure the consent of the nominee(s).

3. Submit the name of at least one eligible candidate for each office to the President and Executive Board
 
4. Prepare secret ballots to be mailed to the membership if there are more than one candidate for each office. If only one candidate is named per office, she/he shall be elected upon approval of the Executive Board. Membership shall be notified in the next communication.
 
5. Roberts Rules of Order. Newly Revised, shall be the authority for the procedure for vote by mail.
 
6. Ballots are to be returned to the Chairperson of the Nominations/Elections Committee who shall be responsible for maintaining the secrecy of the ballots until they are opened at the next Executive Board Meeting, after which time they may be discarded.
 
7. One of the elected Delegates-At-Large shall be a member of this committee.
 
 
G. Funds & Management: Shall be responsible for promoting the School Nurses Organization of Arizona by utilizing marketing strategies. One of the Delegates-At-Large shall be a member of this committee

 

H. Communications: Communication to the membership shall be maintained through the SNOA web page, e-mail or newsletter.
 

Section 2. The chairperson shall be appointed by the President with the approval of the executive Board, with the exception of the Nomination/Elections Committee, which shall elect it's own chairperson (See article VI, Section 1, F). Each chairperson of the Standing Committees shall appoint their own committee members with the approval of the Executive Board.

 

Article VII
Parliamentary Authority

Robert Rules of Order, Revised Edition, shall govern in all cases in which they are not inconsistent with these Bylaws.

 Article VIII
Amendments to the Constitution/Bylaws

Section 1. This Constitution/Bylaws may be amended by mail ballot by a two-thirds majority vote.

Section 2. Any proposed amendments to this Constitution/Bylaws shall be submitted in writing to the Constitution/Bylaws Committee.

 Article IX
Dissolution

In the event of dissolution of SNOA, all assets less liabilities shall be donated to NASN or other appropriate nursing organization as determined by action of the Executive Board.
